Terms of Service – LetMeChat

These Terms of Service ("Terms") govern the use of the LetMeChat platform ("LetMeChat" or "We"), a Software as a Service (SaaS) for communication and sales automation through WhatsApp, Instagram, Messenger (Meta), embedded websites and proprietary applications.
By creating an account, contracting our services or using the platform, You ("Customer") declare that you have read, understood and fully accepted these Terms. If you do not agree with any provision, do not use the service.
These Terms are governed by the Brazilian Federal Constitution, the Brazilian Civil Code, the Brazilian Internet Civil Framework (Law 12.965/2014), the Brazilian General Data Protection Law – LGPD (Law 13.709/2018) and other applicable rules.
1. Purpose of the Service
LetMeChat provides the Customer with an online platform to:
- automate customer service and communication with end customers;
- integrate channels such as WhatsApp, Instagram, Messenger, websites and apps;
- configure message flows, automatic responses and reminders;
- use Artificial Intelligence models for contextual interaction.
LetMeChat is not responsible for the commercial relationship between the Customer and its end customers, acting only as a provider of technological infrastructure.
2. Registration, Account & Access
To use the service, the Customer must register with truthful, complete and up-to-date information. The Customer is responsible for:
- keeping logins, passwords and API keys confidential;
- restricting access to authorized internal users;
- immediately reporting any misuse or unauthorized access.
LetMeChat may, at its sole discretion, suspend or block accounts in case of suspected fraud, misuse, breach of these Terms or of applicable laws.
3. Plans, Subscriptions & Billing
The service is provided through subscription plans and/or recurring billing under the commercial conditions presented at contracting.
- Charges are, as a rule, made through payment providers (such as Stripe) or another method indicated at contracting.
- Non-payment may result in temporary service suspension and, after a reasonable period, account cancellation.
- Not using the platform does not exempt the Customer from paying monthly fees while the plan is active.
Any price change will be communicated with reasonable notice, and the Customer may choose to cancel the service if they disagree with the new conditions.
4. Platform Use & Customer Obligations
The Customer agrees to:
- use LetMeChat in compliance with applicable law, these Terms and Meta's usage policies, as well as those of other integrated providers;
- not use the platform to send spam or illegal, abusive, discriminatory, deceptive messages or any messages that violate third-party rights;
- obtain and maintain all consents and legal bases necessary to process the personal data of their end customers;
- not attempt to bypass technical, volume, security or authentication limits;
- not reverse-engineer, copy, modify or redistribute the platform without authorization.
The Customer is fully responsible for the content of messages sent, for the accuracy of information provided to their customers, and for compliance with consumer protection laws, data protection and other sector-specific rules.
5. Integrated Channels (WhatsApp, Instagram, Messenger, Web & Apps)
LetMeChat acts as an integration layer between the Customer and third-party platforms (Meta, websites, proprietary apps, etc.). Therefore:
- the availability of channels (WhatsApp, Instagram, Messenger) depends on Meta's policies, APIs and infrastructure;
- LetMeChat may adjust settings or flows to comply with new regulatory or provider requirements;
- the Customer must keep their credentials, business accounts and other requirements demanded by Meta or other third parties in good standing.
6. Data, Privacy & Personal Data Protection
Personal data processing within LetMeChat is governed by a specific Privacy Policy, which is part of these Terms.
In short:
- regarding Customer (company) data, LetMeChat acts as Controller for registration, billing and account management purposes;
- regarding the Customer's end-customer data, LetMeChat acts as Processor, processing data on behalf of and for the Customer;
- the Customer is responsible for complying with LGPD towards their own customers, providing adequate notices, legal bases and transparency;
- LetMeChat will adopt technical and administrative measures to protect data in accordance with applicable law.
7. Support, Maintenance & Updates
LetMeChat may perform preventive, corrective or evolutive maintenance, which may cause temporary platform unavailability. Whenever possible, such maintenance will be carried out during low-impact windows.
Support channels and levels (SLA, service hours, contact means) will be defined in the commercial conditions or specific platform documentation.
8. Intellectual Property
All intellectual property rights related to the LetMeChat platform, including but not limited to source code, interfaces, trademarks, logos, flows and documentation, remain the exclusive property of LetMeChat or its licensors.
The Customer is prohibited from:
- copying, reproducing or reusing substantial parts of the system;
- sublicensing, reselling or commercially exploiting the platform without authorization;
- registering trademarks, domains or distinctive signs that could be confused with LetMeChat.
9. Limitation of Liability
To the maximum extent permitted by law, LetMeChat is not liable for:
- loss of profits, revenue, business opportunities, indirect, special or consequential damages;
- instabilities, failures or unavailability arising from external providers (Meta, cloud providers, payment gateways, etc.);
- misuse of the platform by the Customer or its internal users;
- content sent to end customers, including offers, promises, information or omissions.
LetMeChat's total liability, in any case, is limited to the amount effectively paid by the Customer to LetMeChat in the 3 (three) months immediately preceding the event that gave rise to the claim.
10. Suspension & Cancellation
LetMeChat may suspend or cancel the Customer's access to the platform in case of:
- breach of these Terms or applicable law;
- use that poses a risk to the security or stability of the system;
- repeated non-payment;
- determination by a competent authority.
The Customer may request the cancellation of their subscription, observing applicable contractual conditions, minimum terms and any loyalty periods, if any.
11. Changes to these Terms
LetMeChat may change these Terms at any time to comply with the law, improve the service or add new features.
When there are relevant changes, the Customer will be notified through the platform itself or by registered email; continued use of the service will be interpreted as acceptance of the new conditions.
12. Applicable Law & Jurisdiction
These Terms are governed by the laws of the Federative Republic of Brazil, especially the Federal Constitution, the Civil Code, the Internet Civil Framework, LGPD and other related rules.
The jurisdiction of LetMeChat's domicile is elected to resolve any disputes arising from these Terms, with waiver of any other, however privileged, unless specifically provided otherwise by law.
